1. Acceptance of Terms
By accessing or using DealOracle services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access our services.
These terms apply to all visitors, users, and others who access or use our service, including but not limited to:
- Individual users and business entities
- Free trial and paid subscription users
- API integrations and third-party connections
- Administrative and end-user accounts
2. Description of Service
Core Services
DealOracle is a comprehensive marketing analytics and lead management platform that provides:
- Performance tracking and analysis for digital advertising campaigns
- Integration with Google Ads, Facebook Ads, and other marketing platforms
- Lead management and conversion tracking capabilities
- ROI calculation and financial performance metrics
- Automated reporting and data visualization tools
- Business intelligence and optimization recommendations
Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, including:
- Adding or removing features and functionality
- Changing pricing structures and payment terms
- Updating integration capabilities and supported platforms
- Implementing security enhancements and policy changes
3. User Accounts and Registration
Account Creation Requirements
- Provide accurate, current, and complete information
- Maintain and update your account information promptly
- Use a secure password and enable two-factor authentication when available
- Notify us immediately of any unauthorized use of your account
Account Responsibilities
- You are responsible for all activities under your account
- You may not share your account credentials with others
- Each user must have their own individual account
- Business accounts may designate authorized representatives
4. Acceptable Use Policy
Permitted Uses
- Legitimate business marketing and advertising analysis
- Internal reporting and performance optimization
- Compliance with applicable laws and regulations
- Integration with authorized third-party platforms
Prohibited Activities
You agree not to use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malicious code, viruses, or harmful software
- Interfere with or disrupt our services or servers
- Attempt unauthorized access to our systems or other user accounts
- Reverse engineer, decompile, or create derivative works
- Use automated systems to access our services without permission
- Collect or harvest user information for unauthorized purposes
- Impersonate another person or entity
- Engage in fraudulent, deceptive, or misleading practices
Lawful Basis for Lead Data and Conversion Events
If you connect a CRM, landing page, or our tracking SDK and provide us with personal data about your own leads, contacts, and website visitors ("Lead Data"), you represent and warrant that you have a valid lawful basis or consent to collect that Lead Data, to disclose it to DealOracle for processing, and to have hashed identifiers derived from it transmitted to advertising platforms for conversion measurement. You further warrant that, before sharing Lead Data with us, you have given all notices required by law and honored applicable opt-outs. You are solely responsible for your own legal compliance with respect to the Lead Data and the conversion events you instruct us to send. The detailed allocation of these responsibilities appears in Section 17 (Data Roles and Customer Responsibilities) below.
5. Third-Party Integrations
Platform Connections
- You must maintain valid accounts with integrated advertising platforms (such as Google Ads and Facebook Ads)
- You may also connect CRM and lead-source platforms, which currently include GoHighLevel (LeadConnector), HubSpot, Salesforce, Pipedrive, Podio, Unbounce, and Heyflow
- You are responsible for compliance with third-party terms of service
- We are not responsible for changes to third-party APIs or policies
- Integration availability may vary based on platform requirements
Data Access and Permissions
- You grant us permission to access your advertising account data
- Access is limited to read-only operations unless explicitly authorized
- You may revoke access permissions at any time
- We will not access data beyond the scope of our services
6. Payment Terms and Billing
Subscription Plans
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable unless otherwise specified
- Price changes require 30 days advance notice
- Taxes and additional charges may apply based on your location
Payment Processing
- Valid payment method required for paid subscriptions
- Automatic billing unless canceled before renewal date
- Failed payments may result in service suspension
- We use secure third-party payment processors
Cancellation and Refunds
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- No partial refunds for unused portions of subscription periods
- Free trial cancellations do not incur charges
7. Intellectual Property Rights
Our Property
- DealOracle owns all rights to our software, technology, and content
- Our trademarks, logos, and branding elements are protected
- You receive a limited license to use our services as intended
- No rights are granted beyond those explicitly stated
Your Content
- You retain ownership of data and content you provide
- You grant us the rights necessary to process and analyze your data solely to provide the services and, with respect to Lead Data, only on your documented instructions
- We may use fully de-identified, aggregated data for service improvements only where it relates to data for which DealOracle is the controller, and never in a way that overrides our processor-only commitment over your Lead Data. We do not use your Lead Data to create aggregated or anonymized datasets except as needed to provide the services to you
- You represent that you have rights to all content you provide
8. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our services, you consent to our data practices as described in our Privacy Policy.
Data Security
- We implement industry-standard security measures
- Regular security audits and updates
- Encrypted data transmission and storage
- Limited access on a need-to-know basis
9. Disclaimers and Limitations
Service Availability
- Services are provided "as is" without warranties of any kind
- We do not guarantee uninterrupted or error-free operation
- Scheduled maintenance may temporarily affect availability
- Third-party integrations may experience independent issues
Data Accuracy
- We strive for accuracy but do not guarantee data completeness
- You are responsible for verifying critical business information
- Third-party data sources may contain errors or delays
- Historical data reconstruction may have limitations
10. Limitation of Liability
To the maximum extent permitted by law, DealOracle and its affiliates shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages exceeding the amount paid for services in the preceding 12 months
- Issues arising from third-party platform changes or outages
- User errors, misconfigurations, or policy violations
11. Indemnification
You agree to indemnify and hold harmless DealOracle, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of our services in violation of these terms
- Your violation of applicable laws or third-party rights
- Content or data you provide through our services
- Unauthorized use of your account by others
- Your lack of a valid lawful basis or consent to collect, disclose, or process Lead Data, or to have hashed identifiers transmitted to advertising platforms for conversion measurement
- Your violation of any advertising platform's policies or terms (including those of Google, Meta, TikTok, and connected CRM providers)
- Any claim brought against DealOracle by your own leads, contacts, website visitors, or other data subjects relating to your collection, use, or sharing of their personal data
The indemnities in the three items above (lack of lawful basis or consent for Lead Data, platform-policy violations, and claims by your own data subjects) are not subject to the limitation of liability cap set out in Section 10.
12. Termination
Termination by You
- You may terminate your account at any time
- Cancellation prevents future billing but does not trigger refunds
- You remain responsible for all charges incurred before termination
Termination by Us
We may suspend or terminate your account for:
- Violation of these terms or our policies
- Non-payment of fees after reasonable notice
- Suspected fraudulent or illegal activity
- Threats to service security or integrity
Effect of Termination
- Access to services will be discontinued
- Data export may be available for a limited time
- On termination, we will delete or return your Lead Data as described in our Data Processing Agreement
- Surviving provisions remain in effect
13. Governing Law and Disputes
Applicable Law
These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Dispute Resolution
- Initial disputes should be addressed through customer support
- Unresolved disputes may be subject to binding arbitration
- Small claims court remains available for qualifying disputes
- Class action lawsuits are waived to the extent permitted by law
14. General Provisions
Entire Agreement
These terms, together with our Privacy Policy, constitute the entire agreement between you and DealOracle regarding our services.
Severability
If any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect.
Assignment
We may assign these terms or our rights and obligations without restriction. You may not assign your rights or obligations without our written consent.
Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
15. Changes to Terms
We may modify these terms at any time by:
- Posting updated terms on our website
- Providing email notification to registered users
- Offering a reasonable notice period for material changes
- Allowing opt-out for substantial modifications
Continued use of our services after changes constitutes acceptance of the updated terms.
16. Affiliate Program
Our affiliate program lets eligible participants earn commissions for referring new paying customers to DealOracle. Participation is subject to these Terms and to any additional program rules we publish.
Eligibility and Enrollment
We review affiliate applications and admit participants at our sole discretion. We may request information (including a phone number and social media accounts) to verify applicants, and may decline or remove any participant for any reason. At our discretion we may provide an affiliate with a complimentary or discounted account to use and evaluate the product; such accounts remain subject to these Terms and may be modified or revoked at any time.
Commissions and Payouts
Affiliates earn a recurring commission (currently 30%) on qualifying payments made by customers they refer, beginning with the referred customer's second payment and continuing for up to twelve (12) months, unless otherwise stated. Commissions are earned only on payments actually received and retained by us; amounts associated with refunds, chargebacks, fraud, or canceled or unpaid invoices are not payable and may be reversed. Payouts are processed through a third-party provider (Stripe Connect), and you are responsible for providing accurate payout information and for any taxes on amounts you receive. We may change commission rates, eligibility, attribution windows, and program terms prospectively at any time.
Promotion and Prohibited Conduct
You must promote DealOracle honestly and lawfully. You may not engage in spam, unsolicited messaging, misleading or false claims, trademark or paid-search bidding abuse, cookie stuffing, self-referrals, or any deceptive or fraudulent activity. You are solely responsible for your promotional content and for complying with all applicable laws, advertising rules, and platform policies (including FTC disclosure requirements). We may withhold or reverse commissions, and suspend or terminate your participation, for any violation.
Termination
Either party may terminate participation in the affiliate program at any time. Upon termination for fraud, abuse, or breach of these Terms, unpaid commissions may be forfeited. We may modify or discontinue the affiliate program at any time.
17. Data Roles and Customer Responsibilities
Our service involves two categories of data, which are governed by different data-protection roles:
Your Account and Platform Data (DealOracle as Controller)
This category includes your account, platform usage, billing, and marketing data, as well as personal data about your own users. For this category, DealOracle is the data controller and processes it as described in our Privacy Policy.
Lead Data (Customer as Controller, DealOracle as Processor)
"Lead Data" means the personal data of your leads, contacts, and website visitors that is ingested from your connected CRMs and websites. For Lead Data, you are the data controller and DealOracle is solely a data processor (or service provider) acting on your documented instructions. DealOracle processes Lead Data only to provide the services and on your instructions, and not for its own independent purposes.
Your Warranties as Controller
As the controller of Lead Data, you represent and warrant that:
- You have a valid lawful basis or consent to collect the Lead Data, to disclose it to DealOracle, and to have hashed identifiers derived from it transmitted to advertising platforms for conversion measurement.
- You have given all notices required by law and have honored applicable opt-outs before sharing Lead Data with us.
- You are solely responsible for your own legal compliance with respect to the Lead Data.
- You will not instruct DealOracle to process Lead Data in any unlawful manner.
Our Commitments as Processor
- We process Lead Data only to provide the services and on your documented instructions.
- Our processing of Lead Data is governed by our Data Processing Agreement (DPA), which is incorporated into these Terms by reference.
18. SMS Text Messaging Program
If you provide your phone number and check the SMS consent box on one of our demo booking forms, you agree to receive automated text messages from DealOracle (Supreme Score LLC) about your scheduled demo: appointment reminders, confirmations, and rescheduling updates.
Message frequency: up to 4 messages per booking. Message and data rates may apply. Consent is not a condition of booking a demo or of purchasing any service, and you may book without opting in.
You can opt out at any time by replying STOP to any message from us; you may receive a single final message confirming your opt-out. Reply HELP for help, or contact us at [email protected]. Carriers are not liable for delayed or undelivered messages.
We do not share your mobile phone number or your SMS consent with third parties or affiliates for their marketing purposes. See our Privacy Policy for how we handle your information.
